Don’t Make These Mistakes With Your LLC or Corporation

A business entity can provide personal liability protection for its owners. The problem is that many people start business without proper instruction on how to run and manage agreements between parties, agreements with customers, internal paperwork, cash controls, voting rules, state and Federal reporting requirements and a host of other issues.

In fact, we have found between 20 to 25 actions, behaviors, or neglected tasks which commonly cause a business structure to be forfeited and can result in personal liability for the owner or owners.

Here are 5 of them:

Using the business for fraudulent activities: YOU CANNOT, SHOULD NOT, AND SHALL NOT USE YOUR BUSINESS TO CHEAT OR DEFRAUD! For example, John Smith gathers money from investors claiming that he will develop a new product for his company. He never had planned to use this money for product development. He is sued by the investors, but John claims that his personal assets are protected since he was acting as the president of his limited liability company. No court will honor the limited liability company since fraud was involved. His personal assets and business assets will be at risk.

You may think that since this is an egregious example, it won’t ever happen to you. However consider the fact that many deals struck with the so-called ‘motivated sellers’ could give rise to a lawsuit under your state’s Deceptive Trade Practices Act (DTPA) or similar statute. Sometimes the line is not so clear. One bit of wisdom is to make sure that your agreements are fair:

1. You also can’t be wholly unfair or flagrantly one-sided when dealing with customers. A court can always look at a one sided transaction and either decide against you. Even worse a judge could declare that you are using the business to promote unfair dealings. This is bad news for you!

1. Ask Yourself: Would you want to be the buyer/customer on the other end of your deal? Despite popular conception you can structure ‘win-win’ deals with motivated sellers and make money. Ever hear of karma? Everything you do to or for another person will one day be done to or for you…so be fair!

FAILURE TO RESPECT THE BUSINESS AS SEPARATE FROM ITS OWNERS: You shall not mix funds from business accounts with your personal funds, accounts, etc. Do not use company money to buy personal assets, groceries, etc. Simply put, if you do any of these things routinely (or perhaps only once) then your business structure is not likely to hold up in court. If you think this is another easy one…then WATCH OUT, because there are other more complex issues relating to the use of business and personal assets in the business. INSUFFICIENT CAPITALIZATION: THE FAILURE TO PROPERLY CAPITALIZE THE BUSINESS: In other words, A Lack of Reserves and/or insurance coverage. If your business does not have enough capital and/or insurance to cover operating expenses and potential liabilities then a state court will likely ‘pierce’ the business entity and hold the owners personally liable. Why would a court do this? The reason is to ‘find the money’. Your business must have enough insurance and/or savings to cover expenses, liabilities, and obligations. The amount of capitalization generally refers to the total value of assets (equipment, cash, etc.) in the company and the amount of insurance coverage. This is another COMPLEX area because you may need more or less ‘capitalization’ based on your business type. A general rule is: The more you deal with the public, the generally the greater your required level of capital.

FORGETTING TO FILE STATE REPORTS: Your secretary of state’s office will require you to keep up with reports and state taxes (sometimes called franchise taxes and/or business privilege taxes). If you don’t keep up with these reports and/or taxes (even if nominal amounts are owed) your business privileges will likely be revoked. Guess what privilege goes first?: The personal liability protection.

OTHER FORMALITIES: These include meetings, paperwork, required records, proper roles and obligations among the parties, and transfers of ownership interests, and more. It is very rare that we see full step-by-step and easy-to-follow details on creating ‘iron-clad’ records in these areas. Starting your business online – what should you do first?

You might be surprised, but the types of business online, that you can start up with little or no money at all are surprisingly high. If you come across business opportunities that want you to invest a hundred dollars or a thousand dollars, you should run – run the opposite way. You can find hundreds of leads online, to where you can find free information and methods of doing business online that will cost you hardly anything.

First you need to find a product

Your product could range from something locally made, something that you make, or something that you can purchase cheap – and then you can turn around and sell it online. This could be anything from socks, to jeans, to cars, houses, computers, painting, and even pets or flowers in many areas of the world. What you do want to sell is something that is going to ship easily, or that will be freighted anywhere the buyer wants without expense to you.

After you have found a product, you want to create a web site

You can purchase your website name for as low as $10, sometimes even less when they are on sale. With a website you will need hosting to put your pages up on line. Hosting can run as cheap as $1.99 per month, and up, depending on how big and detailed your website is. Most hosting offers are generous and will not require you to pay hefty monthly fees.

Now you have your web site, and your hosting. You create your web pages using any type of program, such as Microsoft word, or you can find free page creator programs online. Where you purchase your hosting or domain name, you can find free web page creators so you don’t have to purchase anything else!

In creating your web pages, you want not only to create pages where you can sell things, but you want to also include information for readers, to draw more people to your site. Articles, content, links to newsletters, and links to where groups and ezines are located can also draw additional traffic through your pages. Create a web page that is exciting for the reader, but not overwhelming on the eyes. Remember web pages that are hard to read will easily be clicked through without the person buying anything from your site at all. The easiest and best way to start is by using WordPress to set up your site.

The Positive Thnking of a Millionaire Real Estate Investor

I know. You’d much rather I jump right in to the nuts and bolts of expediting a successful real estate transaction and getting PAID.

But I just can’t.

I can’t because I, unlike others, actually care about whether or not you make it in this business. So at the risk of you tuning me out I just have to start here. It is the foundation of everything else that I have to share with you. The key to being wealthy starts in the mind.

If you already know this then that means you read stuff which is good. If you don’t know this then that means you don’t read stuff, and that’s bad. Start reading. Read everything you can get your hands on. Some of the books I recommend are: The Millionaire Mind, by T. Harv Eker, The Power of Positive Thinking, Norman Vincent Peale (a classic), Learned Optimism: How to Change Your Mind and Your Life, by Martin Seligman, Why all the reading and listening? Because as you stretch your mind to wrap around new concepts and ideas you will grow as a person. This is imperative and listen closely here because you may have never heard this before -

Your wealth will only grow to the extent that you grow!

There is no way around this. It is especially true in the life of an entrepreneur where people are not buying your products or services…..they are buying YOU.

You do this by expanding your mind through positive and repetitive thoughts. As you pour through these books and tapes your thinking and outlook will start to change. You will be saturated with stories of people who have accomplished the exact same things you are attempting. You will begin to believe.

The effect of this is extraordinary. Action Steps to changing your mindset to the millionaire mindset!

How do you develop a winner’s attitude? Here is the quick version. Do these things on a consistent basis and you will transform your life:

Watch “The Secret”
Read your books and listen to audios
Read T.Harv Ekers The Millionaire Mind (you can buy it on Amazon.
Always be reading some sort of motivational book that makes you feel good. I recommend Your Best Life Now by Joel Osteen. There is no way to read that book and not feel good about life. It all starts with your thoughts which lead to good feelings which then results in positive action and positive attraction.
Always use your time in the car or when you are exercising to listen to motivational and “success oriented” cds or tapes. I know you might be thinking “I don’t have time for that, but you must take the time to improve your THINKING. As you thinketh, so you will be!
Manage your mind and control your thoughts. Your thoughts are creative even if you don’t think so…so think positive. Because whatever you think about will come about. People are not usually poor first and then they start thinking they are poor. They first think they are poor … And so they are poor.
Get rid of all your negative friends or at least limit your exposure to them. Select your friends carefully. Go only where you are celebrated. You are worth too much to surround yourself with mediocrity and hatred. Go to church or something. Hang out there.
Use 10 minutes every day to do positive affirmation about yourself and who you want to become. Also, start writing a list of what you are greatful for at the end of each day. This will transform your life!

Blogging is for fun is what people always thought about, but not anymore. This tool can be used to further social and philanthropic causes also. With the whole world reading blogs it’s certainly a wonderful marketing tool for social causes. Since blogs are posted and read in the age group of 15 – 50 it can be used for spreading Aids awareness programs. Promotion of condom use for safety can be spread through blog posts. The Director for HIV/AIDS Prevention and Care spoke about the use of blog and how because of the Internet awareness has spread and the issue is out of the closet.

Changing social norms requires perseverance. The only way to really turn the problem around is with the kind of efforts that convinces kids that drugs and alcohol are things not worth the risk of experimentation. Blogs can make kids aware of the risks and danger lurking around because of these deadly habits. Causes such as ‘smoking is injurious to health’ can also be spread through a blog.

Blogs can also be used in schools to educate about environmental hazards. Young minds are fresh and if channeled properly can be very fruitful to the society.

Many experts in marketing say, “Blogs and RSS represent the new social media and is a marriage between the powerful social dynamic of people talking to other people about the products and services they like and the speed, reach and efficiency of Internet technology”.

The responsibility of building a client base to market a product using the blogs as a marketing tool is still nascent. Through blogs you not only reach out to people you are creating a social community for your product.

Credibility, Reputation, Authority and Authenticity are the four important characteristics for a blog. Since your blog represents you it should convey the right note to everyone.

According to marketing analysts today the world is moving into consumer controlled marketing environment. It’s no secret that a successful blog can be one of your most important marketing tools. There are several examples of companies doing it right on the blog post and enjoying the benefits of direct social marketing through blogs.
